Position purpose The Solicitor provides legal and regulatory advisory services to the firm’s corporate and financial services clients, with a particular focus on private equity, investment funds, financial services regulation and commercial matters. The role supports client transactions, preparation and review of legal documentation, regulatory advice and ongoing legal and compliance requirements. Key responsibilities and duties • Provide legal advice to corporate and financial services clients on commercial, regulatory and transactional matters. • Draft, review and negotiate contracts, investment documents, fund documentation and other commercial legal agreements. • Advise on financial services regulation, corporations law, investment funds, private equity transactions, AML/CTF requirements, governance and regulatory compliance. • Conduct legal and regulatory research and prepare written advice, memoranda and client communications. • Assist with investment and fund transactions, including due diligence, document preparation, execution and transaction closings. • Review client agreements, policies and other legal documentation and advise on legal and regulatory risk. • Liaise and negotiate with clients, counterparties, external lawyers and other professional advisers. • Assist clients with the legal aspects of KYC/AML, governance and regulatory implementation. • Maintain appropriate matter files, records and legal documentation and comply with applicable professional obligations. • Communicate with relevant Asia-Pacific clients and counterparties where language capability is required for the effective conduct of legal and transactional matters. Qualifications and professional requirements • An Australian-recognised law degree or equivalent legal qualification. • Eligibility for admission to legal practice in Australia and any practising certificate or registration required to perform the duties of the position. Essential skills • Strong legal research, drafting, analytical and contract-review skills. • Ability to provide clear commercial and regulatory legal advice. • Knowledge of corporate and financial services law, investment funds, private equity transactions, AML/CTF and regulatory compliance. • Strong client communication, matter-management and organisational skills. • Ability to work independently, exercise professional judgment and manage competing deadlines. • Professional working proficiency in at least one of Mandarin, Cantonese, Korean or Japanese, with Mandarin or Cantonese strongly preferred, to communicate effectively with relevant clients and counterparties in the Asia-Pacific region. Experience At least 12 months of relevant legal experience, preferably involving private equity, investment funds or fund-of-funds, financial services regulation, KYC/AML, fund documentation, transaction execution and closings, and compliance and risk reporting. Role context The position is an ongoing full-time legal role within the firm’s ordinary business operations. The firm currently services approximately eight active clients across the financial services, private equity and investment funds sectors, with multiple legal, regulatory and transactional matters arising each month.
